急急急，在签了conditional offer之后1个多星期，卖家想再加condition

再加一个。。。

如果卖家在你们交接的那天没有买到房子 这个房子都必须要交接。。。

这样子你就可以把他的那个condition给顶回去了。。。

因为那时候我也有过这种疑虑 专门问过律师。。。

合同签好以后 任何条款要修改的话必须双方同意签字否则不生效啊。
至于backup offer只要合同在unconditional之前卖家都可以接的，只是个候补成不成还看前面个买家要不要而且就算第一个买家不要了后面backup offer的买家可能也改变主意了呢。

subject to lawyers approval 是双方面的么，如果是，那还好点，不算大问题。

The interesting thing about this case is that it would appear that the vendors thought that a solicitor's approval clause was the same thing as taking the contract to their solicitor to approve before signing it.
This was clearly a major misunderstanding.
A solicitor's approval clause does not allow a party to simply walk away from a contract they have regretted signing.

If you agree to buy or sell Real Estate subject to a solicitor’s approval clause, be aware that this does not normally give your Solicitor the right to simply cancel an Agreement

For example if the Buyer’s Solicitor discovers that the Vendor is not the registered owner of the Property being sold under the Agreement, then this would provide a valid reason for withholding their Approval.  However, if the Buyer’s purchase Agreement did not have the same settlement date as the Sale of their existing property, this would not provide a valid reason for your Solicitor to withhold their approval. Neither would simply changing your mind about the transaction be a valid reason.

LZ你大胆的往前走。。。

现在你先和你的律师说。。。

如果对方要加这一条。。。

你就说你要加下面这条。。。

if the vendor cannot purchase a new house at XX date, this property still need to be settled in the settlement date as mentioned in the conditional offer。。。

基本对方应该就会放弃的。。。

因为你也加了所谓的subject to lawyers approval 。。。

其实你的律师应该用那个这个来保障你的权利。。。

直接就说他们加的那个条件严重属于unfair的 所以你们不接受不就可以了么。。。

Year, both parties put the same condition on that conditional contract.

I've talked to my lawyer, and he said he called vendor's lawyer, and let him know it's unfair for me, he suggested they pay me all the money I spent if I didn't end up buying the house, the vendor's lawyer said he would talk to his client and came back to us.

We are still waiting for their reply.

小野猫你可能没有明白LZ的意思，就不要责怪LZ，估计LZ也是第一次买房。另外请注意我们有些华人买房过程是这样的，你了解这个过程后就知道LZ现在的处境和麻烦了，我们华人买房过程：通过Agent看房，满意了在Agent那里签Offer，Agent 拿到Offer到卖家那里谈，卖家再加上a condition subject to lawyer's approval,LZ也不知道这个是条款的意思，就同意了，然后把Offer拿到律师那里，LZ律师在Offer没有Unconditional前也不会仔细看，一星期过了，对方律师告诉LZ卖家要求，LZ律师拿出Offer仔细看了，才发现这个条款，觉得这个是Unfair但是太晚了。

估计就这样吧

yeah sort of like this.

When I signed the conditional contract, the real agent did put down the sell's clause on that offer though.
I didn't have a lawyer until the seller accepted the conditional offer and it became conditional contract.

我当时就是签的conditional offer。。。

所以过程至少也不算是不清楚吧。。。

再来了其实也不算是说责怪LZ。。。

只是自己买房子这事儿你说大不大说小绝对也不小。。。

但是哪能签啥东西都不明不白呢？？？

再来了正如刚才john G说的 既然都签了。。。

你就要想办法去解决啊。。。

在这里我感觉其他的网友都比他自己积极。。。

哎。。。

而且买房子的心态吧肯定要摆正。。。

不能说我超级超级喜欢这个房子 然后就说害怕对方的律师如何如何 我就只能如何如何了。。。

既然你都自己只能如何如何 那还来说个屁哦。。。

这时候你还把责任推到agent身上。。。

当然agent是应该指给你看的。。。

他/她指是有职业道德 他/她不指也不违法。。。

一句说白了就是指是人情 不指是道理。。。

但是合同是你自己签的 即便agent不给你指出来 你自己都应该里外看上个几次再签！！！

if you really like the house, selling price is impt factor, building inspection is impt,
the rest if you can give way, just give way although being taken advantage of.

That is how i see it. In few months time, you wound will be healed.

if you try to argue for all the small things, you will end up not buying....

而且再说一句。。。

conditional offer那时候我们胶着了快5个小时。。。

中间的conditions直接都把我整个agreements都弄花了。。。

所以我相信这个过程我应该会比较清楚的。。。

也非常希望您不要在不清楚我的情况底下 责怪我的想法。。。

因为你不了解我 所以不要妄想用你的理解来理解我的意思 可以么？？？

不管怎样，既然合同签了， 卖方想再加任何不利于你的条款 绝对不同意 拒绝签字 卖家拿你也没办法的。。。大不了就不要了 反正都是损失 卖家也有损失

subject to lawyers approval 不是什么坏条款，加了这条大家都没那么容易逃出去的，唯一能毁约的原因就是legal，比如房子title，卖房子的不是房子的owner。其他原因并不能阻止律师给approval

did you inital the new condition? if not, it means you didn't agree with that. 100% sure.

that is what is suppose to mean.

but a lot of people think if lawyer say no, you can get out? there are some scenario i can think of :-
eg, lawyer say you are paying too much for this house it is unfair bargain then you can get out ( in legal term unconscionable bargain) ?

or there was pressure ( duress) from agent which you later discover .....

or there was undisclosed matter eg, the house was a brothel before

现在LZ只能听天由命了，如果卖家真想卖房，还有机会，如果卖家觉得房价低了也有机会，就怕卖家接到了更好的Offer，所以建议大家不懂房子的应该在签Offer时就应该通知律师要求帮忙才是对的买房过程

if i am a seller, anyone put this clause " subject to lawyer approval" i won't sell to him or her.
check with your lawyer first before signing the agreement.

主要是我觉得LZ的心态有问题。。。

就是觉得我很爱很爱这个房子 然后怎样怎样。。。

再来就说如果我不接受对方的条款的话 那么对方律师就不会把房子卖给他。。。

我是觉得这都是啥玩意儿啊？？？

首先说common sense。。。

即便你加了那个条款 咋对方律师就成了无所不能的人了 就能随意加减所有的条款 还不签不行了呢？？？

其次既然自己都觉得这样不行 必须要签 那就没有必要上来问了。。。

其实所有的东西都出在他的心态上面。。。

不是说你很喜欢就会可以接受所有没有原则的东西。。。

如果自己不签 没有人能强迫你。。。

但是如果因为你自己没有理由或者没有证据证明的想法 例如LZ说自己不签 对方律师就不卖他诸如此类的想法 而导致了自己签了所有不平等的条约 那也应该自己承受。。。

不过我要向onetreehill 1你说一句不好意思了因为我的态度。。。

Well, this is more like my bottom line. I  wouldn't like to touch it but I guess I need to go this time.
The reason I want to seek help is because I just want to see whether the vendor's lawyer can turn down the offer if I said no to the condition.
But I do agree with you I am really worried about not buying the house.

我的理解。。。

只要你不加任何条款 在你们两个已经签了合同之后。。。

就是不再加任何新的东西的话。。。

基本那条 subject to lawyer approval 根本不会起任何作用。。。

但是加了新的东西后。。。

这条会起很大作用。。。

你的律师 对方律师 对方卖家的态度 都会因为加了新的条款而触动起来。。。

现在看来是卖家不愿意卖房子 所以在搞小动作。。。

这只是我的理解。。。

不变应万变是最好的。。。

不要想有的没的。。。

只要咬定那一个就是不签所有新条款 就按现在这个原来的走。。。

买得着是你的 买不着下一间。。。
