實在沒法子才在這裡發帖...
在讀LAW時..實在不能理解這條SECTION到底在講什麼..
有人可以translate一下嗎..

Dealings between company and other persons(1)
A company or a guarantor of an obligation of a company may not assert against a person dealing with the company or with a person who has acquired property, rights, or interests from the company that—

  this Act or the constitution of the company has not been complied with:

我對SECTION 18 真的沒什麼理解..不是沒有花時間..
花了..但理解不了整條S.18 的意思

就是说， company不能用公司章程没有被遵守作为defense

而整條SECTION 18都是在列明.
所有情況包括在S 18裡,,
公司都不能用來做DEFENSE..

除非Third Party has actual knowledage of it? :)

对，就是这个道理，不能用S18里的那些来告诉third party，有那些情况存在，一样binding。
看懂了，就容易了
