201的Section應該是Offer, Acceptance, Intention和Consideration.

offer:
is there an offer? if so in what ways.....
invitation to treat or offer or i think there is another one (too far back) and cite cases to back up
method of communication

acceptance:
if you change the term of the contract it is a counter-offer
if you merely require for additional information, it's not a counter-offer
postal-rule?

intention:
look at the relationship between the two contractual parties
are they related, if they are, it;s more likely to be an arrangement?(我不記得exact term了)

Consideration:
just be aware of that popcorn or peppercorn (忘記哪個了), if there is an agreed amount then there is consideration regardless of the value

that's all i can remember on top of my head

啊？你就每个角度都考虑一下就好了，comlaw基本只要你argue 你的case，最后对错不是特别重要，只要有law, apply the facts to the law backed up with evidence of case，就可以了啊。。而且我觉得这几个礼拜基本 ...
